ABELEDO GOTTHEIL ADVISES MEXICANA DE INDUSTRIAS Y MARCAS (MIYM) ON THE ACQUISITION OF THREE DAIRY COMPANIES IN ARGENTINA

Abeledo Gottheil advised throughout 2025 and continues to advise during 2026 Mexicana de Industrias y Marcas (MIYM) in connection with its acquisition of 100% of the equity interests in Lácteos Karina S.A., Lácteos Aurora S.R.L., and Establecimientos San Ignacio S.A., as part of MIYM’s entry into and expansion within the Argentine dairy industry.

Lácteos Karina, located in San Gregorio, Santa Fe Province, specializes in the production of cheese curd for cheese manufacturing and has established itself as a significant supplier within the regional dairy value chain, focusing on intermediate production for third-party dairy processors.

Lácteos Aurora, headquartered in 9 de Julio, Buenos Aires Province, has a long-standing presence in the production and marketing of dairy products and owns the well-known Doña Aurora brand, among others. Its operations combine industrial-scale manufacturing with an established nationwide distribution network and commercial presence in Latin American markets.

San Ignacio, which operates production facilities in Sauce Viejo and Hipatia, Santa Fe Province, owns two specialized manufacturing plants—one dedicated to the production of blue cheese and the other to dulce de leche and other dairy products. The company has developed a strong position in higher value-added market segments and maintains an export-oriented business with a presence in international markets.

The acquisitions were structured progressively throughout 2025 and 2026 through the purchase of 100% of the equity interests in the target companies. The transactions involved complex contractual negotiations, regulatory matters, and comprehensive legal due diligence covering corporate, commercial, environmental, financial, labor, and tax matters.

Abeledo Gottheil’s representation included designing the overall transaction structure, negotiating the share purchase and equity interest purchase agreements, implementing security and financing arrangements, and coordinating the various legal and regulatory aspects required to successfully complete the transactions.

Collectively, these investments represent a total committed investment of approximately USD 40 million, including both the purchase price paid for the acquired equity interests and the financing provided to the acquired companies. The transactions reflect MIYM’s growing commitment to the Argentine dairy sector and further contribute to the ongoing transformation of the industry in a market offering significant strategic opportunities for regional growth.
